【要旨】医薬品産業では, M&Aが相次いでいる。そこで外資系製薬会社の合併事例はいかなるものであったか, 外資系製薬会社にとっての日本企業買収の主要な目的は何であるか, さらに今後の我が国の製薬会社の方向性について検証した。2007年5月より外資系企業による株式交換方式によるM&Aが日本でも可能となったことから, 日系製薬会社はM&Aを非常に警戒するようになった。各製薬会社は, 規模の拡大によって高騰する研究開発費を確保し, 革新的な新薬を開発してゆくことが目標となっていることから, 外資によるM&Aに対抗するには, 国内大手といえども, 新たな再編も視野に入れた対応を考える必要があると考える。さらに武田薬品,第一三共,アステラス製薬を先陣として, 他の製薬会社も企業規模を拡大し, 新薬の日米欧の3極での同時開発・同時発売をめざし, グローバル化を進めてゆくと思われる。 【Abstract】 M&A (Merger and Acquisition) cases have been recently occurred one after another in the world pharmaceutical industry. We, therefore, examine M & A cases by foreign pharmaceutical companies around the world and the purpose of the M & A by foreign companies in Japan. We also examine future course of Japanese pharmaceutical companies and their countermeasures for foreign companies' M & A. Japanese pharmaceutical companies came to watch M & A cases very carefully because the foreign companies become possible to conduct M & A by the stock exchange method in Japan from May, 2007. It is needed for Japanese all pharmaceutical companies to make a countermeasure for foreign companies' M & A including a new reconstitution or M & A within Japanese companies because each pharmaceutical company secures a R & D (research and development) cost by the increase of its sales scale, and its goal is to develop a innovative medicine. Moreover, I think that Japanese major pharmaceutical companies including Takeda, Daiichi-Sankyo and Astellas will globalize their activity by expanding their world sales scale and developing their new medicine in Japan, US and EU together.
