Since the Organized Crime Group Prevention Act, which legally established organized crime groups as anti-social organizations, came into force in March 1992, earnest efforts have been made to block further transfer of funds to such groups and to prevent money laundering. However, last year, Mizuho Bank was found to have been lending money to anti-social organizations, which revealed that companies in Japan still do not have sufficient means to deal with such organizations appropriately. However, the closer look shows that this case is more complicated than what people understand through media and suggests there is high likelihood of Japanese big enterprises falling into tactful about dealing with anti-social organizations. This article aims to offer suggestions to improve the status quo by scrutinizing the Mizuho case in detail.

Problems concerning working women and child-rearing, as well as economic problems, attract strong attention from the aspects of childcare, social welfare, clinical psychology and ethics. The social understanding of "child-rearing by mothers" as a private problem has deepened also as a public problem. The publication of "Collection of articles and documents on women's work before the war" is a result of my research to date, collaborative research with people involved in the Women's and Minor's Bureau. This is related to the analysis of the history of ideas of working women and child-rearing. In this present study, discussion is especially based on the viewpoint of the history of ideas in postwar Japan. Taking publicness and changing gender roles into consideration, I argue that the important viewpoints for analyzing reality include keeping an eye to human rights, citizens' and human dignity and grasping domestic and international correlative dynamics.

It is common knowledge that the Japanese economy has been in a long-term stagnation for the past 10 to 20 years. A company that is to continue its past growth must increase productivity by adding value. Innovation is essential for this. Protracted economic decline is indicative of impaired management capability. Using various data showing corporate activities in the Japanese economy since the beginning of the twenty-first century, I investigate management attitude toward and the decisions made regarding innovation. I find that less creative innovation is consequent to, among others, management indecisiveness in taking risks and complacency in promptly acknowledging the importance of emerging IT or digital technologies. I conclude that there is a lack of proper incentives for technological innovation in information and communication technologies. The results highlight the significance of innovation for companies from the perspective of corporate governance and business ethics.

The purpose of this paper is to illustrate some common features of social business and social issues management. First, we compare business view. Yunus has the same view of business with Friedman. They assume a business objective is the maximization of profit. Yunus regards social business objective as resolution of social issues. In management theory, some researchers conclude resolution of social issues is compatible with maximization of profit. Secondly, we identify cases of social business and social issues management. Both social business and social issues management cooperate with other business corporations and NGOs to resolve social issues. Social business intends to resolve issues as poverty, education, health and the environment. It takes very long time to solve these problems. Business corporations engage in social issues related their stakeholders.

The discussion in this article is based on a hypothesis as follows. If all of the members of a corporation have shared ethical value as organizational culture to such an extent that the corporation reflects the value into the corporate strategy, the powerful corporate competitiveness will be created. This article analyzes ethical matter in pharmaceutical company, and argues some framework of the effective use of ethical value in organization. Furthermore, the framework is applied to the cases of the strategic responses by pharmaceutical companies in the harmful effect of medicine.

Market price is, as Amartya Sen points out, institutional while the prices through which consumer expresses his preference are conceptual. Thus, price may be inadequate as a weight to aggregate goods to measure income when income is used as a yardstick of welfare. Traditionally, economics regards itself as a social science dealing with goods and services. However, economics does not analyze goods and services but only services. Only services are exchanged in the market and physical goods are mere vehicles of services. Material balance approach vis-a-vis traditional market value balance approach will more sharply shed light on the waste problems.

The study found five latent causes of the case of the Accident in the Maihime Attraction at Tokyo Dome; absence of the legitimate driver, failures in checking the safety bar, ambiguous provisions of limited availability, no interlock introduced, and lack of systematic education for part-time workers. Additionally it showed the loss of the sense of responsibility and excessive reliance on OJT (on-the-job training) as typical mechanism to induce organizational misconducts.

The recent corporate scandals were brought to light by whistle-blowing. Whistleblowing is an effective means to obtain a tip-off, but legal measures have to be put in place to prevent the whistle-blower's suffering. The Sarbanes-Oxley Act of 2002 is a U.S. version of the measure addressed to the window-dressed accounts to jack up the stock prices. Japanese corporate wrongdoings are often the outcome of the cozy relationship among politics, bureaucracy, and industry that is peculiar in Japan. Insider's accusation is effective to expose the injustice, but it should be deemed abnormal if there is no alternative. We want to answer to this problem by way of "Comprehensive Auditing". This scheme is meant for an NPO corporation to act as the auditing principal "providing an auditing firm or company's auditor with information obtained through own investigation and participating together in analyzing and making public after evaluating it from citizens' perspective". This article intends to promote the "disclosure of corporate information and its fair evaluation" in such a unique way and safeguard the interest of corporate stakeholders. The upshot will be a favorable stock market and it will also bring about the revitalization of Japanese economy.

This report first looks at current conditions and problems facing women in the Japanese workplace from the perspective of corporate social responsibility (CSR) and then makes recommendations with regard to steps to be taken toward the creation of a more diverse work environment. The number of woman in leadership positions within Japanese corporations is extremely low by international standards. This is due, in particular, to entrenched, stereotypical gender divisions with regard to job descriptions and work responsibilities, as well as to Japan's male-oriented corporate culture that favors long working hours. Japanese corporations operating internationally must, as both a growth strategy and a CSR strategy, value the contributions of women in the workforce, and it is incumbent upon Japanese corporations to lead the way in redefining the role of the working woman in society. This will promote better balance between work and life while also increasing the number of women leaders.

The issue of overwork and death from it (karoshi), along with women’s active participation, has become a major challenge to“ working style reforms” in Japan. A review of cases of overwork and karoshi at Zensho (SUKIYA), Watami and UNIQLO, which are Japan’s representative growing companies, suggests that the essential problem lies in their management culture meant to minimize costs by retaining as few permanent employees as possible and assigning practical duties to nonpermanent employees. For the prevention of overwork and karoshi, Japanese companies are required to clearly position “working style reforms” among their diversifying employees as a challenge to CSR and to corporate governance and persistently work on the reforms with the participation of top management, while carrying forward the“ visualization of working styles” through their efforts to disclose corporate information.

It is generally accepted that corporations should create not only economic value but also social value, which builds a symbiotic relationship between corporations and society. This study considers the idea of social value as both economic value and non-economic value (such as cultural and political value). What kind of management process is required to realize these in a manner that is well balanced for each stakeholder? Non-economic value in particular is based on quality of life and humanity, both of which are difficult to express as numerical value and tend to be sacrificed. In this paper I analyze the process of creating both non-economic and economic value by focusing on the stakeholder relationship. Normative theory has been the mainstream so far with regard to the social nature of corporations. Almost no empirical study has been carried out on social value and the management process. This study analyzes the process of creating social value in corporations using the case of The Body Shop International PLC and builds a "model for the process of creating social value in corporations". The constituents and key factors required for the model to function are indicated.

In this paper, a behavioral entropy model on business ethics is proposed through the use of the information theory, and business ethics are expressed as 'lower entropy resources', The characteristic of the model is to suggest one of orientations on the roles which business ethics should fulfill. Based on this model, the roles of business ethics are discussed from the view points of the lower entropy resources.

This paper provides a framework to examine the impact of design of Benefit Corporation (BC) on sustainability management. The BC is a new form of legal business entity formed in US to pursue social benefit or responsibility while undertaking responsibility to return profits to shareholders. With the activities of B Lab, a nonprofit organization with capacity of 501-c-3 in the US, Certified BCs are now being established all over the world. Although BC is designed for business corporations with all the traditional characteristics, it possesses a unique characteristic of empowering corporations to undertake corporate social responsibilities while suppressing the traditional corporate objective of maximizing shareholder profit. The main question that needs to be answered is how the management can achieve corporate sustainability while absorbing the costs of CSR activities and suppressing the shareholder pressure on profit maximization. The comparative research framework and the results presented in the paper attempt to provide explanations on the underlined issues. In building this framework, this paper takes into account the conceptual relationship between the design of BC system, the sustainability management and CSR.

In 1981, the Japanese Corporation Law adopted the rule where corporate directors and auditors had to provide the limited information requested at the shareholder's meeting. This law, known as Article 237-3 of the Corporation Law, is based on the German counterpart although shareholder's rights under the Japanese law is restricted compared to its mother law. As shareholder's rights has been limited, an accountability of directors and auditors has become a contradiction in terms: while directors and auditors are obliged to inform shareholders at the company's general meeting, the information which should be disclosed are restricted by law. In light of the current information-oriented society, such situation is unfavorable. It is therefore suggested either to scrap the Article 237-3 or to clarify the shareholders fundamental rights further.

The March 2011 Fukushima nuclear accident raised numerous issues concerning the adequacy of Japan's national safety and national energy policies. In this paper, the author focuses on the Tokyo Electric Power Company (TEPCO) to discuss problems related to the handling of the accident from the perspective of business ethics and risk management. While TEPCO's biggest shortcoming was in its lack of catastrophic accident contingencies, it also demonstrated insufficiencies in the areas of risk management and corporate governance. Based on lessons learned, the writer proposes the following four-point business ethics strategy: 1. Implementation of continuous "ethicality" validation practices 2. Thorough integration of "crisis response" with corporate governance 3. Management ethics dispensation system that emphasizes "sharing of values" and "work-place permeation." 4. This paper discusses how to arbitrate harassment problems in Japanese companies, and proposes a norm of "Ethic of Care" as an effective solution. Many companies recognize harassment in the workplace as a serious problem and are carrying out various countermeasures. While companies make public their measures to prevent harassment, they tend to avoid disclosing the fact that harassment exists in their workplace. When harassments happen and the problems are solved, companies tend to emphasize fairness or justice; however, this alone does not ensure adequate care for the victims of harassment. This paper explores the possibility of complementing fairness and justice for the human rights of all employees with a norm of "Ethic of Care", on the harassment issue.
